Terms of service
The agreement between us and the clinic using OPDone.
Last updated 25 August 2026
1. Who this is between
These terms are between OPDone Technologies Private Limited (“we”, “OPDone”) and the clinic, practice or organisation that holds the account (“you”). Using the service means accepting them.
Whoever accepts them on your behalf confirms they may bind you.
2. What we provide
Software for running a clinic — appointments, patient records, prescriptions and certificates, billing, stock, staff and payroll — delivered over the web, with the features your plan includes.
We improve the product continuously. We will not remove a feature your plan includes without telling you first.
3. Your data is yours
Patient records, invoices, documents and everything else you enter remain yours. We claim no ownership and no right to use them beyond running the service for you.
You can export them at any time in a standard format, including when you leave. We do not hold data hostage to a renewal.
What we hold and how is set out in the privacy policy.
4. Clinical responsibility stays with the clinician
This is a record-keeping and administration tool. It does not practise medicine.
- Diagnosis, prescribing and every clinical decision remain the treating doctor's, on their own judgement and registration.
- Where the software warns — a recorded allergy against a prescribed medicine, an expired stock batch — the warning is an aid, not a substitute for checking.
- The absence of a warning is not a clinical clearance.
- You are responsible for the accuracy of what is entered, and for meeting the record-keeping duties your registration places on you.
5. Accounts and access
- Sign-in credentials are personal. Sharing one account between people defeats the audit trail you may later need to rely on.
- You decide who has access and at what role, and you are responsible for removing people who leave.
- Tell us promptly if you believe an account has been compromised.
6. Acceptable use
You will not:
- Use the service for anything unlawful, or to hold data you have no right to hold.
- Attempt to reach another clinic's data, probe the isolation between accounts, or interfere with the service for others.
- Resell or white-label the service without our written agreement.
- Upload malware, or content that infringes someone else's rights.
Security research is welcome — tell us at hello@opdone.in rather than testing against a live clinic's data.
7. Fees and billing
- Subscriptions are billed per plan, monthly or yearly, in advance.
- Prices are exclusive of GST, which is added at the applicable rate.
- A price change takes effect at your next renewal, never mid-term, and we will tell you before it does.
- Unpaid invoices may lead to suspension after notice. Your data is not deleted on suspension — see clause 10.
8. Availability
We aim to keep the service running continuously and will schedule disruptive maintenance outside clinic hours where we can.
We do not promise uninterrupted availability on standard plans. If an agreed service level matters to you, ask — it is something we can write into a contract rather than something to imply here.
9. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under Indian law.
Subject to that, our total liability in any twelve-month period is limited to the fees you paid us in that period, and we are not liable for indirect or consequential loss, or for loss of profit, goodwill or anticipated savings.
We are not liable for clinical decisions, for the accuracy of what you enter, or for your compliance with the obligations your own registration and licences place on you.
10. Ending it
- You may cancel at any time, effective at the end of the paid term. We do not refund the unused part of a term unless we have failed to deliver.
- We may end the agreement for material breach — unlawful use, non-payment after notice, or an attempt to reach another clinic's data — with notice where the circumstances allow it.
- On termination you keep 90 days to export your data, after which it is deleted.
11. Changes to these terms
We may update these terms. Material changes are notified to account holders before they take effect, and continuing to use the service afterwards means accepting them. Do not accept them and you may cancel, with a pro-rata refund of the unused term.
12. Governing law
Indian law governs this agreement, and the courts at Pune, Maharashtra have exclusive jurisdiction.
